MBA604 Corporate Governance, Law & Ethics
The course explores business, financial, political, ethical, and legal issues affecting systems by which corporations are directed and controlled. Students will examine the nature of the corporation, the internal and external architecture of corporate governance, the role of regulatory authorities, models of corporate governance, principal-agent theory within the corporate context, as well as corporate culture, corruption, management and board compensation. The course will also explore advanced topics in business law including regulations surrounding employment law and regulations, the Uniform Commercial Code, contracts, intellectual property, and securities.
